Since 2001, the way Panama does its banking and business has changed. Back then the term “offshore” was not present in their legislation and their banking laws stated that only income that was earned within the country was subject to local taxes, and foreign derived income was not subject to Panama taxes.

After the revision of their present banking laws and creation of new laws to protect their banks from money laundering and taxation loopholes, new ways of banking and business are being implemented. If you’re interested in forming an offshore corporation in Panama, here are the types of offshore companies that you can build:

Corporation (Sociedad Anonima)

This is the type of corporation that is utilized most often in Panama with offshore investors usually selecting this option for their Panama busienss operations. A corporation is formed by three subscribers or nominees (representatives in behalf of absent foreign subscribers) who accomplish the Articles of Incorporation in front of a notary and have the document noted at the Public Registry Office. A local representative agent will be required which is usually the Panama law firm who is registering the corporation on your behalf. Annual registration fees are required to keep your corporation in good standing.

Foreign Corporation

Foreign corporations can be registered in Panama by submitting these documents to the Public Registry Office:

• Articles of Association (notarized and translated in Spanish);
• A Board minute that authorizes registration in Panama;
• Financial statements (most recent);
• A certificate of confirmation from a Panamanian Consul stating that the company is organized lawfully;
• Notification of capital allotment to the Panamanian operation.

Foreign corporations can hand over their positions of responsibility to Panama. If this happens, they will be governed by Panamanian laws regarding public policy.

Unregistered foreign companies that are operating in Panama may face lawsuits, but these companies do not have the right to file a lawsuit.

General Partnership

Partners have unlimited liability. This is allowed under the Commercial Code.

Limited Partnership

Limited partnerships (sociedad de responsibilidad limitada) may have two to twenty partners. There are no nationality or location restrictions. Minimum capital is $2,000 and maximum is $500,000. Registration of partners’ names takes place in the Public Registry Office, including how much capital each of them paid in.

Partners can hire an independent administrator provided that he or she is also registered. Partnerships that have up to 5 members are not required to have annual meetings, but those that have more members are required to have a meeting at least once a year. Filing of accounts or annual returns is not required.

Civil Partnership

This is usually chosen by professionals who have their own firms, such as lawyers and accountants. Partners’ liability is unlimited.

Commandite Company

This type of company is a fusion of partnership and corporation. One or more partners must have unlimited liability, while the remaining partners only have limited liability according to how much capital they contributed. This type of company is seldom used.

Foundation

The foundation is a self-ruling legal unit with no members or shareholders. It is essentially used to protect assets and it is not allowed to execute any business activities. A foundation is established by notarizing a private foundation charter and submitting it to the Public Registry. The private foundation charter should include the names of the foundation council members, the property of the foundation and its headquarters, and who their Panamanian agent is. Principles of operation and beneficiaries’ names are not required to be filed. The required minimum capital is $10,000. Accounts and an audit are not necessary. Capital taxes and annual registration fees are required.

Trusts

Trusts can be declared to be rescindable, but if they’re not declared to be, then they’re non-rescindable. The trustees and the one who settled the trust do not need to be citizens or residents of Panama, but a Panamanian lawyer is required to act as an agent. There is no required registration nor capital requirements or fees. Documents may either be in English or Spanish.
